Terms of Service for Partner Accounts

This web page represents our Manceppo Partner Account Terms of Service and applies to registering and using a Manceppo PARTNER ACCOUNT regarding our website, located at https://app.manceppo.com and the tools we provide you (the “Website” or the “Service”). It was last posted on 27 October 2020. The terms, “we” and “our” as used in this Agreement refer to Manceppo BV.

We may amend this Agreement at any time by posting the amended terms on our Website. We may or may not post notices on the homepage of our Website when such changes occur.

By creating a Manceppo PARTNER ACCOUNT, you’re agreeing to accept the Manceppo Partner Account Terms of Service as described on this web page.


The terms below which are written with a capital letters have the following meaning in this agreement:

  • AGENCY PARTNER: a PARTNER who agreed upon a separate agency partner agreement with Manceppo
  • CUSTOMER: a buyer of a good or service;
  • CUSTOMER ACCOUNT: the Manceppo account of a CUSTOMER;
  • FREEMIUM SUBSCRIPTION: a CUSTOMER ACCOUNT to which a free subscription applies;
  • MANCEPPO PRIVACY POLICY: the privacy and GDPR conditions that apply to Manceppo accounts as stated on the web page https://manceppo.com/privacy-policy/
  • PAID SUBSCRIPTION: the monthly recurring subscription costs associated with the CUSTOMER ACCOUNT that are owed to Manceppo by a CUSTOMER;
  • PARTNER: a company that has accepted the Manceppo Partner Account Terms of Service and created a PARTNER ACCOUNT;
  • PARTNER ACCOUNT: the Manceppo account of a PARTNER;
  • PARTNERHSHIP: the collaboration as described in this agreement;

1.   Agreement to Terms   

1.1  These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (you), and Manceppo BV, located at Laan van Kronenburg 14, Amstelveen, NH 1183 AS Netherlands (we, us), concerning your access to and use of a Manceppo PARTNER ACCOUNT.
If you do not agree with all of these Terms of Service, then you are prohibited from using the PARTNER ACCOUNT and you must discontinue use immediately. We recommend that you print a copy of these Terms of Service for future reference.
1.2  The supplemental policies set out in Section 1.5 below, as well as any supplemental terms or documents, are expressly incorporated by reference.  
1.3  We may make changes to these Terms of Service at any time. The updated version of these Terms of Service will be indicated by an updated “Revised” date and the updated version will be effective as soon as it is accessible. You are responsible for reviewing these Terms of Service to stay informed of updates. Your continued use of a PARTNER ACCOUNT represents that you have accepted such changes.  
1.4  We may update or change the PARTNER ACCOUNT from time to time to reflect changes to our products, our users’ needs and/or our business priorities.  
1.5  Additional policies which also apply to your use of the PARTNER ACCOUNT include:  
  • Our Privacy Policy (https://manceppo.com/index.php/privacy-policy/), which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using the Site, you consent to such processing and you warrant that all data provided by you is accurate;
  • Our general Terms of Use (https://manceppo.com/terms-and-conditions/), for the use of any Manceppo account;
  • Our Data Sub Processing Agreement (https://manceppo.com/data-sub-processing-agreement-for-partners/), in applies in case PARTNER creates CUSTOMER ACCOUNT(S) on behalf of its own CUSTOMERS and PARTNER is also the billing contact;
  • Certain parts of this Site can be used only on payment of a fee.    

2.   Using Manceppo for your CUSTOMERS

2.1  PARTNERS can use a PARTNER ACCOUNT to access, manage and / or create CUSTOMER ACCOUNTS on the request of and with the permission of CUSTOMERS. In a PARTNER ACCOUNT the PARTNERS can:

  • Log in directly into the underlying CUSTOMER ACCOUNTS
  • View the performance of the underlying CUSTOMER ACCOUNTS
  • View the revenue related to the PAID SUBSCRIPTION of these CUSTOMER ACCOUNTS at Manceppo

2.2  CUSTOMERS can create a Manceppo CUSTOMER ACCOUNT on their own behalf and grant a PARTNER ACCOUNT access to their CUSTOMER ACCOUNT by providing an access token to the PARTNER;

2.3  It is also possible for the PARTNER to create CUSTOMER ACCOUNT(S) on behalf of CUSTOMERS. In this case the billing contact of the new CUSTOMER ACCOUNT is also a CUSTOMER of Manceppo;

2.4  If both the owner of the CUSTOMER ACCOUNT and the PARTNER confirm to Manceppo that the PARTNER may manage a CUSTOMER ACCOUNT, the CUSTOMER ACCOUNT will be added to the PARTNER ACCOUNT of the PARTNER;

2.5  A CUSTOMER ACCOUNT can be managed by a maximum of one PARTNER, the CUSTUMER can indicate who the PARTNER is for his or her CUSTOMER ACCOUNT and change its PARTNER at any specific time;

2.6  On request Manceppo will instruct the PARTNER in which way CUSTOMER ACCOUNTS can be configured, so that PARTNER can independently set up and manage CUSTOMER ACCOUNTS if desired and charge a services fee to the relevant CUSTOMER at its own discretion.

3.   Financial

3.1  When PARTNER is qualified as an AGENCY PARTNER, a commission over the turnover that Manceppo realizes on PAID SUBSCRIPTIONS of CUSTOMER ACCOUNTS that are linked to the PARTNER ACCOUNT of the PARTNER can be agreed upon in a separate agreement.

4.   Liability

4,.1  PARTNER and Manceppo remain liable to CUSTOMERS for the services they provide within their direct customer relationships.

5.   Duration of the partnership

This agreement is applicable for an indefinite period of time and can be terminated by either party, for any reason, upon ninety (90) days prior written notice. PARTNER will notice its CUSTOMERS and disconnect CUSTOMER ACCOUNTS within thirty (30) days after the written notice of termination.

Manceppo may update or change the terms in this agreement as stated in 1.5.

6.   Final provisions

This agreement is governed by Dutch law;
